Board governance, explained
Why company law reaches every company, what the constitution is, who is responsible for the registers, and the six steps the series follows.
The statutory registers
The register of partners, the beneficial owner register and the 25 percent test, nominee directors, and what DMCC and DIFC companies keep on top.
The general assembly
When the owners must meet, who can call a meeting, how much notice, what is on the agenda, and how often a joint stock company board sits.
Minutes and resolutions
Where minutes live, what a resolution must say before a dividend or a share issue, which resolutions go to the registrar, and the deadline.
Accounts, audit and the reserve
The fiscal year, the annual accounts and audit, the manager's report, the shareholder's right to a copy, the statutory reserve and the DMCC filing deadline.
