What documents does UAE incorporation actually require?

The base document set is similar across most UAE free zones and mainland authorities, but the structure you choose — dual-license, holding company, or bifurcated setup — adds requirements the base checklist doesn't cover. This is the generic checklist; the specific document pack for your finalized structure and jurisdiction is what Scout generates once your structure is decided.

Base documents — every applicant

Required regardless of structure or jurisdiction

Passport copies

All shareholders and directors — valid for at least 6 months at time of submission.

Passport-size photographs

White background, recent — usually 2 per applicant.

Proof of address

Utility bill or bank statement, typically dated within the last 3 months.

No Objection Certificate (NOC)

If the applicant currently holds a UAE residence visa sponsored by another employer.

Business plan or activity description

Some zones require a formal business plan; most accept a structured activity description.

Bank reference letter

Increasingly requested by banks during account opening, not always by the licensing authority itself.

Entity-level documents

Required once the entity structure is confirmed

Memorandum & Articles of Association (MOA/AOA)

Drafted per the zone's template, specifying shareholding, activities, and governance.

Board resolution

Required where the shareholder is a corporate entity, authorizing the UAE incorporation.

Certificate of incumbency / good standing

For corporate shareholders — confirms the parent entity is validly existing, attested and often notarized.

Share capital proof

Bank deposit certificate where a minimum paid-up share capital applies to the chosen structure.

Dual-license (free zone + mainland)

Free zone establishment card

Mainland trade name reservation

DED/mainland licence application, referencing the free zone parent entity

Local service agent agreement, where applicable

Holding company / IP structure

Parent company incorporation documents (apostilled/attested)

IP assignment or licensing agreements, if IP is being migrated in

Ultimate Beneficial Owner (UBO) declaration and ownership chart

Board resolution authorizing the holding structure

Bifurcated / dual-entity structure

Inter-company services or licensing agreement between entities

Transfer pricing documentation for related-party transactions above the AED 3M threshold

Separate MOA/AOA per entity, cross-referencing the group structure
